Kanosis Website Terms of Use

Entity: Kanosis LLC (“Kanosis,” “we,” “us”)

1) Acceptance of these Terms

These Terms of Use (“Terms”) govern your access to and use of kanosis.com and related pages (the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2) Changes to the Site and to these Terms

We may update the Site and these Terms from time to time. If we make material changes, we will update the Effective date above. Your continued use after changes means you accept the updated Terms.

3) Who may use the Site

The Site is intended for business and professional audiences and is not directed to children under 13. You must have legal capacity to form a contract to use the Site.

4) Privacy; cookies; assessments (alignment)

Your use of the Site is subject to our Website Privacy Policy and Cookie Policy, which explain how we collect and use information on the Site. Any Kanosis assessments/diagnostics are governed by our Assessment & Diagnostic Privacy Notice. These documents are incorporated into these Terms by reference.
Order of precedence: If you or your company have a separate written agreement with Kanosis (e.g., MSA/Service Terms/DPA), that agreement controls to the extent it conflicts with these Terms for the covered services.

5) Ownership; license; Kanosis Materials

Except as expressly stated, the Site and all Kanosis Materials—meaning our frameworks, methodologies, question sets, scoring logic, prompts, statistical and AI models, benchmarks, documentation, sample outputs, page design, and arrangements—are owned by Kanosis or our licensors and protected by law.
We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site and Kanosis Materials solely for your organization’s internal, informational business use. All rights not expressly granted are reserved.

5A) Internal use only; no commercialization or redistribution

You may not (and may not permit others to):

  • use Kanosis Materials or any Site outputs to provide services to third parties, or to resell, license, sublicense, or otherwise commercializethem;
  • use Kanosis Materials to create, market, or deliverany assessment, diagnostic, training, advisory, or consulting product or service that competes with or is derived from Kanosis;
  • disclose or redistribute Kanosis Materials or outputs outside your organization exceptto engaged advisors/contractors who are bound by written confidentiality and using them solely on your behalf.

5B) No model training, benchmarking, or reverse engineering

You may not (and may not permit others to):

  • use Kanosis Materials or outputs to train, fine-tune, evaluate, or benchmarkany machine-learning or AI model;
  • reverse engineer, decompile, or derive scoring logic, prompts, or models;
  • publish performance tests or benchmarks of Kanosis Materials without our prior written permission.

5C) Proprietary notices; injunctive relief

Do not remove proprietary notices on Kanosis Materials or outputs. Any unauthorized use may cause irreparable harm for which monetary damages are inadequate; Kanosis may seek injunctive relief in addition to other remedies.

6) Feedback and submissions

If you provide ideas, feedback, or suggestions, you grant Kanosis a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. Do not submit confidential or sensitive business, HR, or medical information through public Site forms; such submissions are not treated as confidential and are handled per our Privacy Policy.

7) Acceptable use

You agree not to: (a) interfere with the Site’s operation or security; (b) test or breach security or authentication; (c) upload or transmit malware; (d) misuse any forms (e.g., posting confidential, medical, or HR grievance information in website contact fields); or (e) use the Site in violation of law.

8) Third-party links and services

The Site may link to third-party sites or services. We do not control or endorse them and are not responsible for their content, policies, or practices. Use them at your own risk.

9) No professional advice; informational use only

The Site is provided for informational purposes only. Nothing on the Site is legal, financial, HR, medical, or other professional advice. You are responsible for how you use any information.

9A) No guarantees; your data, your decisions (data-quality dependency)

Insights and outputs (including sample reports, calculators, or AI-assisted text if offered) are derived from information you provide and other inputs you select. We do not guarantee any outcome or result. You are solely responsible for evaluating our content and for all decisions and actions you take based on it.

10) Downloads, demos, and AI outputs (if offered)

From time to time, we may offer downloads, demos, or interactive features (including AI-assisted outputs). These are provided “as is” for evaluation and informational purposes only and may contain errors or omissions. Do not submit confidential or sensitive information into any demo or interactive feature.
Use limits. Do not use any outputs as a substitute for professional advice or for employment, compensation, promotion, termination, medical, legal, financial, or compliance determinations. Data-quality dependency: outputs may be incomplete or inaccurate if inputs are inaccurate, incomplete, or out of date.

11) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANOSIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED US $100.
Some jurisdictions do not allow certain disclaimers or limits; in those places, our liability will be limited to the maximum extent permitted by law.

13) Indemnification

You will defend, indemnify, and hold harmless Kanosis and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Site.

14) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, the license granted in §5 ends immediately.

15) Governing law; venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware for any dispute arising out of or relating to these Terms or the Site.
(If you prefer arbitration with a class-action waiver, we can swap §15 for an arbitration clause.)

16) Export and sanctions compliance

You agree to comply with applicable export control and economic sanctions laws and not to export, re-export, or provide access to the Site in violation of such laws.

17) Intellectual property concerns

If you believe content on the Site infringes your rights, contact [email protected] with details. (The Site does not host user-generated content.)

18) Miscellaneous

These Terms are the entire agreement between you and Kanosis regarding the Site and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in full force. We may assign these Terms; you may not assign them without our consent. Our failure to enforce a provision is not a waiver. Sections that by their nature should survive termination will survive (including §§5, 9–13, 15–18).
